1. Acceptance of Terms
These Terms of Use govern your access to and use of the online services and proprietary materials that Teymz Inc. provides in connection with Wealthfolio, including our official website and distribution channels, update server, addon store, trademarks, branding, and other non-code assets (collectively, the “Teymz Services”). By accessing or using the Teymz Services, you agree to be bound by these Terms. If you do not agree, do not use the Teymz Services. Downloading, installing, or running Wealthfolio (the “Application”) by itself does not constitute acceptance of these Terms.
The Teymz Services are operated by Teymz Inc. (“we”, “our”, or “us”). If you use Wealthfolio Connect, our optional cloud service, the Wealthfolio Connect Terms of Use also apply to that service.
The Wealthfolio software, including AGPL-covered code contained in official builds, is separately licensed under the AGPL-3.0 (see Section 8). These Terms do not govern or restrict your receipt, installation, running, copying, modification, or distribution of AGPL-covered software. The AGPL-3.0 controls those activities, and exercising rights under that license does not require acceptance of these Terms.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to create an account, purchase a subscription, or enter into another paid transaction through the Teymz Services. If you are under the age of majority where you live, you may use other Teymz Services only with the permission and supervision of a parent or legal guardian. These eligibility requirements do not restrict the rights granted under the AGPL-3.0.
3. Use of the Teymz Services
3.1. Wealthfolio is a desktop and iOS application designed for personal investment tracking and portfolio management.
3.2. You agree to use the Teymz Services only for their intended purposes and in compliance with all applicable laws and regulations.
4. No Financial, Investment, or Professional Advice
4.1. Wealthfolio is an informational tool, not a financial adviser. We are not a registered investment adviser, broker-dealer, tax adviser, or financial planner. The Application does not provide investment, tax, legal, or financial planning advice, and nothing in the Application constitutes a recommendation to buy, sell, or hold any security or to make any financial decision.
4.2. Any figures, projections, analytics, performance calculations, or planning outputs the Application produces are for informational purposes only, may contain errors, and should not be relied upon as the basis for any financial decision. You are solely responsible for your investment decisions and should consult qualified professionals before acting.
4.3. Market data displayed in the Application is obtained from third-party providers (such as Yahoo Finance or a provider you configure with your own API key). We do not guarantee the accuracy, completeness, or timeliness of this data, and it should not be relied upon for trading decisions. You should verify important information directly with your brokerage or the data source.
5. AI Features
5.1. The Application may offer AI-powered features that use an AI provider you configure with your own API key. Your interactions with that provider are governed by the provider’s own terms and privacy policy.
5.2. AI-generated responses may be inaccurate, incomplete, or misleading. They are provided for informational purposes only, do not constitute financial, tax, or legal advice, and must not be relied upon for any financial decision. You are responsible for independently verifying any information produced by AI features.
6. Addons and Third-Party Extensions
6.1. The Application supports addons — optional extensions that add functionality. Official addons are developed and maintained by us. Community addons — including those labeled “verified” — are created, owned, and supported by their third-party developers and are not authored, owned, or endorsed by us. Before awarding a community addon a “verified” label, we review it against our published verification criteria and build its installable artifact from the developer’s pinned published source. This limited review is not a comprehensive security audit or ongoing monitoring, and the label is not an endorsement, warranty, or guarantee of the addon’s quality, security, or fitness for any purpose.
6.2. Addons may request permission to read your portfolio data and to communicate with external hosts over the network. You are responsible for reviewing the permissions an addon requests and choosing whether to install it. You install and use addons at your own risk.
6.3. We are not responsible or liable for the functionality, security, accuracy, or conduct of any community addon, or for any loss, damage, or unauthorized data disclosure arising from your use of one. Community addon developers are solely responsible for their addons, including compliance with applicable laws and their own terms and privacy practices.
6.4. We may, at our sole discretion, remove or disable any addon from the addon store. Except for the limited review used to award a “verified” label, we have no obligation to monitor, review, or moderate community addons.
6.5. Addon ratings and optional review text may be displayed publicly. You must not include personal, financial, confidential, unlawful, or infringing content in a review. We may moderate or remove ratings or reviews that violate these Terms or applicable law.
7. User Data and Privacy
7.1. Wealthfolio is designed to operate locally on your device. How the Application handles data is described in our Privacy Policy.
7.2. You are solely responsible for the security and backup of your data, including maintaining copies of any data stored locally by the Application.
8. Intellectual Property and License
8.1. Unless a component’s license notice states otherwise, the Wealthfolio application source code is made available under the GNU Affero General Public License, version 3 (AGPL-3.0). Some components are distributed under separate licenses, such as the MIT License; the license notice accompanying each component governs your use, modification, and distribution of that component.
8.2. The Wealthfolio name, logo, trademarks, branding, and other non-code assets are owned by Teymz Inc. and are not licensed under the AGPL-3.0. You may not use them without our prior written permission, except as permitted by applicable trademark law.
8.3. These Terms govern the Teymz Services and our proprietary, non-code materials. They do not impose additional restrictions on AGPL-covered software or limit any rights granted under the AGPL-3.0. If these Terms conflict with the AGPL-3.0 regarding covered software, the AGPL-3.0 controls.
9. Updates and Modifications
9.1. We may update or modify the Teymz Services and may publish updated official builds of the Application from time to time to implement bug fixes, enhanced functions, or other features.
9.2. We have no obligation to continue operating any Teymz Service or to publish updates or new official builds of the Application.
10. Disclaimer of Warranties
10.1. The Teymz Services and our proprietary, non-code materials are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. AGPL-covered software is provided subject to the warranty disclaimers in the AGPL-3.0.
10.2. We do not warrant that the Teymz Services will be error-free or uninterrupted, that official builds will be free of defects, or that any defects will be corrected.
11. Limitation of Liability
11.1. To the fullest extent permitted by law, Teymz Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, or any investment or financial losses, arising from or related to the Teymz Services, our proprietary materials, third-party addons, third-party data, or AI features. Liability relating to AGPL-covered software is addressed by the AGPL-3.0.
11.2. To the fullest extent permitted by law, our total aggregate liability for all claims arising from or related to the Teymz Services or our proprietary materials shall not exceed the greater of the amounts you paid us for the Teymz Services in the 12 months preceding the claim, or one hundred US dollars ($100).
11.3. Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be excluded or limited under applicable law.
11.4. The limitations in this section reflect a fair allocation of risk and are a fundamental basis of the agreement between you and us.
12. Indemnification
You agree to indemnify, defend, and hold harmless Teymz Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms, your violation of any third-party rights, or your use of any community addon. This indemnity does not apply to the extent a claim arises from our own breach of these Terms, gross negligence, or willful misconduct.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Teymz Services shall be resolved in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts. Nothing in this Section deprives you of the protection of mandatory consumer laws of your country or province of residence.
14. Changes to Terms
14.1. We reserve the right to modify these Terms of Use at any time. We will notify users of any significant changes by posting the new Terms of Use on this page and updating the “Last updated” date.
14.2. Your continued use of the Teymz Services after changes become effective constitutes acceptance of the modified Terms.
15. General Provisions
15.1. Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Teymz Inc. regarding the Teymz Services and our proprietary, non-code materials.
15.2. Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3. Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
